Terms of Service

These Terms of Service ("Terms") govern your use of Novium (the "App"), an invoicing and payment-tracking tool for independent contractors and interpreters, provided by MÁS Professional Services ("we," "us," or "our"). By creating an account or using the App, you agree to these Terms.

1. What Novium Does

Novium helps you generate invoices from your calendar events, track client rate cards, record payments, and optionally send invoices by email through your own connected Gmail account. Novium is a tool you use to manage your own business records — it does not process payments on your behalf, act as a payroll service, or provide legal, tax, or accounting advice.

2. Your Account and Data

• Your invoice, client, and payment data is stored securely in Novium's private cloud database, with automatic backup copies saved to your own Google Drive if you choose to connect it.
• You are responsible for keeping your own backups. We recommend downloading a manual backup periodically in addition to any automatic Drive backup.
• You are responsible for the accuracy of the information you enter, including rates, hours, and client details. Novium performs calculations based on what you enter, but you are responsible for reviewing every invoice before sending it.

3. Google Account Access

If you choose to connect your Google account, Novium requests limited access to:

• Read your Google Calendar events, so assignments can be imported
• Send emails through Gmail on your behalf, only when you explicitly click Send inside the App
• Save backup files to a folder in your Google Drive

Novium never sends email automatically or without your direct action, and never reads or accesses emails already in your inbox. You can disconnect your Google account at any time from within the App.

4. Acceptable Use

You agree not to use Novium to:

• Violate any applicable law or the terms of any agreement you have with your clients or agencies
• Use the App to send unsolicited bulk email or spam

You further agree not to, and not to permit others to:

• Reverse engineer, decompile, or disassemble the App, or otherwise attempt to derive its source code, underlying structure, or business logic
• Copy, reproduce, or create derivative works based on the App or its features for the purpose of building or supporting a competing product or service
• Use automated means (including scraping, crawling, or bots) to access, extract, or replicate the App's functionality, design, or content
• Circumvent, disable, or interfere with any security-related or access-control features of the App

We reserve the right to suspend or terminate access for any account found to be in violation of this section.

5. No Warranty

Novium is provided "as is," without warranties of any kind, express or implied. We do not guarantee that the App will be error-free, uninterrupted, or that calculations will always be accurate under every circumstance. You are responsible for independently verifying invoice totals, especially for tax or legal purposes.

6. Limitation of Liability

To the fullest extent permitted by law, MÁS Professional Services is not liable for any indirect, incidental, or consequential damages arising from your use of the App, including but not limited to lost income, lost data, or billing errors. Our total liability for any claim relating to the App is limited to the amount you paid us, if any, in the 12 months before the claim.

7. Changes to the App or These Terms

We may update Novium's features or these Terms from time to time. If we make material changes to these Terms, we'll update the "Last updated" date above. Continued use of the App after changes means you accept the updated Terms.

8. Termination

You may stop using Novium at any time by disconnecting your Google account and/or discontinuing use of the App. We may suspend or discontinue the App at our discretion, with reasonable notice where practical.

9. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
